The agreement governing your subscription, account access, and use of MorrisDesk.

Draft Notice for Review: These Terms of Service represent a complete launch draft for the MorrisDesk web application and website. Qualified counsel and the account owner must review and confirm these terms before launch.

1. Acceptance of Terms

By creating an account, starting a free trial, or logging into any workspace on MorrisDesk, you agree to comply with and be legally bound by these Terms of Service. If you are entering into these terms on behalf of a company, business entity, or team, you represent that you have the authority to bind that organization to this agreement.

2. Description of the Service

MorrisDesk is a simple, follow-up-first customer relationship management application designed for small businesses, consultants, agencies, franchise brokers, business brokers, and owner-led sales teams. The platform provides tools to manage contacts, companies, opportunities, pipelines, tasks, follow-up schedules, internal appointment calendars, notes, activity history, and workspace settings.

3. Account Registration and Eligibility

To use MorrisDesk, you must create a user account by providing complete and accurate information, including a valid email address and password. You must be at least 18 years of age or the legal age of majority in your jurisdiction to form a binding contract. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

4. Workspaces and Membership Roles

Data within MorrisDesk is organized into distinct workspaces. A single user account can belong to multiple workspaces through our workspace switcher.

  • Account Owner or Admin: The user who creates a workspace or is assigned primary administrative control. The Account Owner manages subscription plans, billing details, seat allocations, member invitations, role permissions, workspace settings, and workspace deletion.
  • Team Member: Users invited by an Account Owner or Admin to collaborate within a workspace. Team Members can view, create, and update contacts, opportunities, notes, and tasks based on assigned workspace permissions.

Workspaces operate under strict server-side separation. Users in one workspace cannot view, edit, or access records in another workspace unless explicitly authorized as a member of both.

5. Billing, Plans, Fees, and Subscription Terms

MorrisDesk offers straightforward subscription pricing designed for small teams:

  • 30-Day Free Trial: New workspaces begin with a full-featured 30-day trial. No credit card is required to sign up, and no charges incur during the trial period.
  • Business Workspace Subscription: Following the trial, paid access costs $9.95 per workspace per month. This base plan includes full MorrisDesk Business functionality for the Business Owner plus 1 additional active user (2 active users total). There is no permanent free Business plan.
  • Additional Users: Every plan includes 2 active users. Each additional active user costs $4.95 per month. There is no fixed team-size limit.
  • User Seats: Additional users beyond the 2 included users are billed monthly at $4.95 per user and renew automatically unless cancelled.
  • No Permanent Free Plan: MorrisDesk does not offer a permanent free plan. Active use beyond the 30-day trial requires an active paid subscription.
  • Cancel Anytime: Subscriptions renew automatically on a monthly or annual cycle until canceled. Account Owners can cancel subscription auto-renewal at any time through workspace settings or by contacting support.

6. Customer Data Ownership and Export Rights

You retain full ownership, title, and intellectual property rights to all customer relationship content, contacts, opportunity lists, and notes uploaded to or created within your workspace.

MorrisDesk does not claim any ownership rights over your workspace data. You maintain the right to export your contact records and workspace data in standard file formats at any time during an active subscription or prior to scheduled workspace deletion.

7. Acceptable Use Policy

You agree to use MorrisDesk in a responsible and lawful manner. You shall not:

  • Use the service to store or transmit illegal, harassing, fraudulent, or defamatory material.
  • Engage in sending unsolicited bulk emails (spam) or violating communications regulations.
  • Attempt to probe, scan, or breach the security or authentication controls of the platform or other workspaces.
  • Interfere with or disrupt the performance, integrity, or network availability of the service.
  • Reverse engineer, decompile, or copy the underlying software architecture or visual design elements of MorrisDesk.

8. Service Availability and Performance

MorrisDesk strives to provide continuous, high-performance availability for all active workspaces. However, we do not make explicit uptime percentage SLA guarantees. Routine maintenance, server updates, or unexpected internet infrastructure outages may occasionally affect service availability. When scheduled maintenance is required, we attempt to provide advance notice.

9. Suspension and Termination

MorrisDesk reserves the right to suspend or terminate account access if a workspace breaches these terms, fails to complete required subscription payments, or engages in abusive activity that threatens platform security.

Account Owners can terminate their workspace subscription at any time. Upon termination, access ends at the conclusion of the current paid billing cycle, and workspace data enters our standard deletion retention window.

10. Disclaimers of Warranties

MorrisDesk is provided on an "as is" and "as available" basis without express or implied warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the application will be completely error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by applicable law, MorrisDesk and its owners, operators, or affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or business data, resulting from your use of or inability to use the service.

In no event shall our total aggregate liability for all claims related to the service exceed the total amount paid by you to MorrisDesk during the twelve months immediately preceding the event giving rise to liability.

12. Governing Law and Legal Jurisdiction

These Terms of Service and any disputes arising out of or related to your use of MorrisDesk shall be governed by and construed in accordance with standard contract laws, without regard to conflict of law principles. Any formal legal actions must be conducted in designated courts of competent jurisdiction.

13. Changes to These Terms

We may update these Terms of Service periodically to reflect platform changes, legal requirements, or billing adjustments. When updates occur, we will post the revised terms on our website with an updated date. Continued use of MorrisDesk following posted updates constitutes acceptance of the revised terms.
